Madison Asset Management, LLC (Madison) has adopted the following proxy voting policies and procedures with respect to securities owned by MEMBERS® Mutual Funds (MMF) and held on behalf of accounts established on behalf of certain pension plan participants and beneficiaries, and other clients having assets under management with Madison for which Madison serves as the investment adviser and has been given the power to vote proxies.
